Terms of Service

These Terms of Service govern access to and use of the VertexY website, applications, APIs, dashboards, and related services provided by VertexY, Inc. By creating an account, submitting a registration, accessing the service, or using VertexY on behalf of an organization, you agree to these terms.

If you use VertexY for an employer or other legal entity, you represent that you have authority to bind that organization. If you do not agree to these terms, do not use the service.

You must provide accurate registration information, keep credentials confidential, and promptly notify VertexY of any unauthorized use or suspected compromise. VertexY may require email verification, administrator approval, or other validation steps before activating an account.

Access to specific features, pages, APIs, workloads, and usage quotas depends on the customer subscription plan, effective company settings, and any superadmin or contractual overrides maintained by VertexY.

You may not use VertexY to violate law, infringe rights, probe or disrupt networks, send malicious code, reverse engineer protected components, circumvent authentication or plan controls, benchmark the service for public comparison without written consent, or use the service in a way that materially harms VertexY, other customers, or third parties.

You are responsible for all activity under your account, including actions taken by employees, contractors, agents, and integrations connected to your organization workspace.

As between the parties, customers retain responsibility for the legality, quality, accuracy, and rights needed to submit data to VertexY. You represent that you have all necessary notices, permissions, and lawful bases required for the data and processing instructions you provide.

VertexY may process customer data solely to provide, secure, support, and improve the service, to comply with law, and to enforce these terms and associated agreements.

Paid features are governed by the subscription plan, order form, or billing terms applicable to your account. Fees are non-refundable except as required by law or explicitly stated in a written agreement. VertexY may suspend or limit access for overdue amounts, fraud risk, abuse, legal risk, or material violations of these terms.

Usage may be subject to plan quotas, warning thresholds, grace allowances, or hard limits. VertexY may enforce those limits at the application, API, or organization level.

VertexY retains all rights, title, and interest in the service, software, models, documentation, visual design, and underlying technology, including all related intellectual property rights. These terms grant a limited, non-exclusive, non-transferable right to use the service during the active subscription term.

Feedback you provide about VertexY may be used by us without restriction or compensation, provided we do not publicly identify you as the source without permission.

Except as expressly stated in a written agreement, the service is provided on an as available and as provided basis. VertexY disclaims implied warranties, including merchantability, fitness for a particular purpose, title, and non-infringement, to the fullest extent permitted by law.

To the fullest extent permitted by law, VertexY will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenues, goodwill, or data. VertexY aggregate liability arising out of or related to the service will not exceed the amounts paid by the customer to VertexY for the service during the 12 months preceding the claim.

Either party may terminate according to the applicable subscription agreement or by ceasing use of the service if no separate contract applies. Upon termination, access rights end, though certain provisions of these terms survive, including provisions relating to fees owed, confidentiality, ownership, disclaimers, limitations of liability, and dispute resolution.
